Representative matters:

i. Acting for a leading training company in respect to the sale of 100% shareholding in the company to an investor. The advice issued was in respect of competition law, tax implications of the deal and intellectual property rights.

ii. Conducting legal due diligences on several state owned companies which are in the process of being privatized. This included advice on the restructuring of the said companies pursuant to the Privatization Act and the Companies Act, 2015 in a bid to turn them around into profit making ventures.

iii. Acting for the shareholders of Equator Bottlers in connection with the corporate restructuring and setting up of a holding company.

iv. Advised a multinational food processor on a competition dispute with the Competition Authority of Kenya regarding the company’s products. The scope of work included outlining the strategies that the company should adopt to resolve the dispute amicably with the Competition Authority without necessarily approaching the Competition Tribunal.

v. Advising a local food processor on its liability for occupational injury occasioned to a contractor’s employees. The matter involved review of the Agreement and Conditions of Contract for Building Works published by the Joint Building Council of Kenya.

vi. Advising a multinational financial services provider on a cross border dispute with a foreign securities exchange. The support offered included corresponding with the securities exchange in a bid to resolve the dispute.

vii. Provided legal advice to a diversified financial services group listed on the Nairobi Securities Exchange on a transaction involving transfer of its general insurance business.

viii. Advised a local manufacturer of breakfast cereals on competition law issues touching on an extraterritorial distribution agreement. The scope included advising the company on its legal exposure under the agreement.

ix. Acted for various private clients in connection with structuring private properties for succession purposes.

x. Advised a telecommunications operator with respect to a subscription of shares in the Company.
